The agreement between you and Mobieus Partners LLC when you access or use the Mobieus platform, our marketing site, or any related product or service.

PLEASE READ CAREFULLY. THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION CLAUSE AND A CLASS-ACTION WAIVER (SECTION 24) AND LIMIT THE LIABILITY OF MOBIEUS (SECTION 19). BY ACCESSING OR USING THE SERVICES YOU AGREE TO THESE TERMS.

0. Parties and acceptance
These Terms of Service ("Terms") form a binding contract between Mobieus Partners LLC, a Wyoming limited liability company ("Mobieus," "we," "us," "our"), and you, the individual or entity accessing or using the Services ("Customer," "you," "your"). If you are accepting on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not have authority, or you do not agree, do not use the Services.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. The Services are not directed to children under 13.
1. Definitions
Services: The Mobieus platform, the marketing site at mobieus.io, hosted tenants we provide, including Sovereign deployments, the public REST API, outbound webhooks, the admin interfaces, our documentation, and any related product, feature, or beta offering.
Customer Tenant: A Mobieus instance provisioned for you, identified by a subdomain on mobieus.io or by a custom domain you own.
Customer Content: All data, text, images, files, listings, posts, threads, courses, knowledge-base articles, ticket content, and other materials you or your Members upload to or generate within a Customer Tenant.
Member: An end-user of a Customer Tenant, such as a forum poster, course student, or ticket submitter.
Documentation: The user-facing technical documentation maintained at the support tenant and within the marketing site.
Order: A self-serve subscription started on /buy or a written order form for Sovereign.
Fees: Subscription fees, add-on fees, and any other charges set out in an Order or our public pricing page.
2. The Services and roles
Mobieus is a software-as-a-service provider. We operate the Mobieus platform; you operate the community, content, moderation, commerce, and member relationships on your Customer Tenant. You are the controller of the Customer Content; Mobieus processes Customer Content on your behalf as described in our Privacy Policy and any executed Data Processing Addendum.
Mobieus is not a publisher, editor, or speaker of Customer Content. To the extent permitted under applicable law, including Section 230 of the US Communications Decency Act, we are an interactive computer service that hosts Customer Content created by you and your Members.
3. Accounts and access
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized use.
- You agree to provide accurate, current, and complete information when creating an account, and to keep it current.
- API keys, webhook signing secrets, and, on Sovereign, SAML/SSO configuration are credentials that grant access to your tenant. You are responsible for rotating, revoking, and protecting them.
- Mobieus may suspend account access for non-payment, suspected compromise, suspected violation of these Terms, or as required by law.
4. Subscriptions, billing, trials, renewals
- Self-serve plans, including Starter, Pro, and Creator Plus, auto-renew at the end of each billing cycle, monthly or annual. Sovereign engagements run for the term specified in your written order.
- A 14-day free trial is available on self-serve plans without payment information. At the end of the trial, the subscription you selected begins billing on the next day unless you cancel before the trial ends.
- Fees are billed in advance and are non-refundable except as required by law or expressly stated by Mobieus. Downgrades take effect at the next renewal; upgrades take effect immediately and are prorated.
- You authorize Mobieus and our payment processor, Stripe, to charge your payment method for all Fees due. If a charge fails, we may retry, suspend access, or terminate the Order.
- Taxes, including sales, VAT, GST, and withholding, are your responsibility and are added on top of the published Fees where applicable.
- Prices may change. We will provide at least 30 days' notice of a price increase for an existing subscription via email or in-product notice.
5. Customer commerce; Stripe direct; zero platform fee
Mobieus does not act as merchant of record for your Customer Content commerce, including member payments, paid forums, mobieusMarket listings, course sales, gifts, and credits. You connect your own Stripe account; funds settle directly to you under your Stripe agreement. Mobieus charges zero platform fee on this commerce on every tier. Stripe's standard processing fees and Stripe's terms apply.
You are solely responsible for:
- Collecting and remitting all taxes on your commerce.
- Issuing refunds and resolving chargebacks.
- Complying with consumer protection, mobieusMarket, and e-commerce laws in every jurisdiction in which you sell.
- The description, fitness, legality, and delivery of any goods, services, courses, memberships, or digital products sold through your Tenant.
- Maintaining required licenses and permits.
6. Customer Content; license to Mobieus
As between you and Mobieus, you retain all right, title, and interest in and to Customer Content. You grant Mobieus a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, transcode, scan, index, back up, and otherwise process Customer Content solely as necessary to provide and improve the Services, prevent abuse, and comply with law. This license terminates when you delete the Customer Content or terminate the Order, subject to:
- Retention required by law.
- Reasonable backup-rotation periods, up to 30 days.
- Audit-log retention.
You represent and warrant that you have all rights, permissions, and consents necessary to upload Customer Content to Mobieus and to grant the license above, and that Customer Content does not infringe any third-party rights or violate any applicable law.
7. Acceptable Use Policy
You and your Members will not use the Services to, and will not allow any third party to:
- Violate any applicable law, regulation, sanction, or third-party right, including intellectual property, privacy, publicity, and contract rights.
- Upload, generate, transmit, or distribute:
- Malware, ransomware, viruses, worms, trojans, or other malicious code.
- Content that is unlawful, defamatory, fraudulent, harassing, threatening, hateful, obscene, sexually exploitative of minors, or otherwise abusive.
- Content that promotes or facilitates violence against any person or group.
- Content that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party.
- Engage in spam, phishing, pyramid schemes, multi-level marketing fraud, or unsolicited commercial email outside the consent framework of CAN-SPAM, CASL, ePrivacy, or analogous law.
- Interfere with, disrupt, or compromise the integrity, security, or availability of the Services, including by probing, scanning, denial-of-service, attempts to gain unauthorized access, attempts to bypass rate limits, reverse-engineering except where applicable law forbids the prohibition, or unauthorized penetration testing.
- Use the Services to operate any service that competes with Mobieus, or to build a substantially similar product.
- Misrepresent your affiliation with any person or entity, or impersonate any other person.
- Knowingly transmit personal data of children under 13, or 16 where applicable, to Mobieus without verifiable parental consent.
- Use the API or webhooks to scrape, mirror, or circumvent the limits, scopes, or plan gates of the Services. Excessive abusive automation will be throttled or blocked.
- Use the Services for activities prohibited by US export controls, US sanctions, OFAC, or the sanctions regimes of the UK, EU, UN, Australia, Canada, or Japan; or while you are located in, ordinarily resident in, or organized under the laws of a sanctioned country.
- Use AI features to produce or distribute outputs that are illegal in the receiving jurisdiction, including non-consensual intimate imagery, defamation, CSAM, or deceptive deepfakes of real persons without lawful basis.
We may suspend or terminate access immediately, without notice and without refund, for any violation of this Section.
8. Public API and webhooks
The public REST API and outbound webhooks are available on Pro, Creator Plus, and Sovereign plans. The API is provided "as is" and "as available" subject to the broader disclaimers in these Terms. You acknowledge and agree:
- The API contract is governed by the OpenAPI specification at /api/openapi.yaml. Additive changes, including new endpoints, fields, and event types, may ship without notice; breaking changes will be versioned, such as a new /api/v2/ base path, with at least 90 days of overlap.
- API keys are scoped to your Customer Tenant. A key disclosed publicly, such as in a public Git repository or front-end source code, is treated as compromised and you remain responsible for activity until revocation.
- Webhook payloads may contain Personal Data of Members. You are the controller for downstream processing once the payload reaches your receiving endpoint. You are responsible for the security and access control of that endpoint.
- Webhook signing-secret rotation is your responsibility; we provide the dual-signing grace-window mechanism for non-disruptive rotation.
- Rate limits are subject to change with reasonable notice. Per-tenant and per-key overrides are available in /admin/api-keys.
- You are responsible for SSRF risk on your receiving endpoints; our outbound SSRF guard rejects loopback, RFC1918, link-local, IPv6 ULA, and cloud metadata endpoints both at registration and at delivery time.
9. AI features and AI provider terms
Mobieus offers optional AI features, including long-thread summaries, suggested tags, search synthesis, and report explanations. These features are off by default and require a tenant administrator to enable them and supply an API key for a supported AI provider, currently Anthropic Claude. When enabled:
- Inputs are transmitted directly from your tenant to the AI provider you configured. Mobieus does not provide its own AI key, does not pool tenant inputs, and does not aggregate inputs across tenants.
- You are solely responsible for:
- Compliance with the AI provider's terms, acceptable-use policy, and data-processing addendum.
- Any fees charged by the AI provider.
- The lawfulness of the inputs you send and the outputs you display.
- Where applicable, obtaining any required consents from your Members for AI processing of their content.
- AI outputs may be inaccurate, biased, or out of date. Outputs are not professional advice, including medical, legal, financial, psychological, or otherwise, and must not be relied on as such. You agree to evaluate outputs for fitness in your context before acting on them or surfacing them to your Members.
- Mobieus disclaims all warranties for AI-generated content to the maximum extent permitted by law, and the limitation of liability in Section 19 applies fully to AI features.
- Mobieus does not use tenant content to train any AI or ML model and does not provide tenant content to any AI provider for training purposes.
10. Moderation, intervention, and removal
You are responsible for moderating Customer Content on your Customer Tenant. Mobieus reserves the right, but assumes no obligation, to monitor, screen, refuse, remove, quarantine, or restrict access to Customer Content that we reasonably believe violates these Terms, our Acceptable Use Policy, or applicable law, including in response to:
- Lawful takedown requests, including DMCA, EU Digital Services Act, and other notice-and-takedown regimes.
- Trust and safety incidents, including CSAM, terror content, and imminent threats.
- Suspected fraud, abuse, or unauthorized access.
- Direction by a court of competent jurisdiction.
DMCA notices: send takedown notices that comply with 17 U.S.C. § 512(c)(3) to [email protected]. Counter-notices may be submitted to the same address. Repeat infringers will have access terminated.
11. Custom domains
You may point a custom domain at your Customer Tenant. You represent that you own or control the domain, and you grant Mobieus the limited rights necessary to verify the domain and issue/renew a TLS certificate on your behalf. We use Let's Encrypt via standard ACME flows. Domain registration, DNS hosting, and any costs associated with your registrar are your responsibility.
12. SAML / SSO (Sovereign)
Sovereign tenants may configure SAML 2.0 SSO with an identity provider of their choice. You are responsible for the configuration, the SAML metadata, the certificates, and the security of the identity provider. Mobieus does not store IdP credentials and is not responsible for IdP outages.
13. Data ownership, export, and termination handling
You own your Customer Content. We provide self-serve export from member account settings for Members and admin-level export tools for Tenant Operators. Sovereign tenants can request full database and filesystem snapshots on reasonable notice.
On termination of an Order, whether by you, by us, or by expiration, we will provide at least 30 days to export Customer Content. After that period, Customer Content may be deleted from production systems; backups may persist up to 30 additional days under standard rotation. Termination does not relieve you of accrued payment obligations.
14. Suspension and termination
We may suspend or terminate your access to the Services, in whole or in part, immediately and without notice if:
- You breach these Terms or the Acceptable Use Policy.
- Required by law, court order, or regulatory action.
- Your account is compromised or used to attack the Services or third parties.
- Your payment fails and is not cured within a reasonable period.
- Continued provision would expose Mobieus, our customers, or our customers' Members to material risk.
Either party may terminate an Order for material breach by the other if the breach is not cured within 30 days of written notice, or immediately for breaches incapable of cure. Self-serve subscriptions may also be terminated by Mobieus on 30 days' notice for any reason.
15. Service availability and beta features
Self-serve subscriptions, including Starter, Pro, and Creator Plus, are provided on a commercially-reasonable best-efforts basis without a contractual service-level guarantee. We aim for 99.9% monthly availability and post status at admin.mobieus.io/health. Service-level commitments with credits are available only where set out in a written Sovereign order.
Beta features labeled "beta," "preview," "early access," or similar are provided AS IS, may change or be removed at any time, may have additional terms, and are excluded from any service-level commitment. Use of beta features is at your sole risk.
16. Intellectual property
Mobieus and its licensors own all right, title, and interest in and to the Services, the software, our trademarks, the Documentation, and all related intellectual property. No rights are granted to you except as expressly set out in these Terms. You may not, and may not permit others to, copy, modify, decompile, disassemble, reverse-engineer, or create derivative works of the Services or any part of them, except where applicable law prohibits this restriction.
If you provide feedback, ideas, or suggestions about the Services, you grant Mobieus a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you.
17. Confidentiality
Each party will protect the other's Confidential Information using at least the same degree of care it uses for its own confidential information, and no less than a reasonable standard. Confidential Information does not include information that is:
- Publicly available without breach.
- Lawfully obtained from a third party without restriction.
- Independently developed without use of the other party's Confidential Information.
- Required to be disclosed by law or court order, with prior notice where lawful.
The Customer Content is your Confidential Information; the Services' design and pricing terms, beyond what is publicly published, are ours.
18. Warranty disclaimer
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOBIEUS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND THOSE ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. MOBIEUS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALICIOUS CODE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES, AI-GENERATED OUTPUTS, OR ANY CONTENT WILL MEET YOUR REQUIREMENTS OR BE FREE OF INACCURACIES.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the disclaimers above apply to the fullest extent permitted.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- MOBIEUS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF MOBIEUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- MOBIEUS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE FEES YOU PAID TO MOBIEUS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
- ONE HUNDRED US DOLLARS ($100).
THE FOREGOING LIMITATIONS APPLY TO ANY CLAIM, REGARDLESS OF FORM OR THEORY, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; IN THOSE JURISDICTIONS THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.
20. Indemnification
You will defend, indemnify, and hold harmless Mobieus and our officers, directors, employees, members, agents, contractors, licensors, and suppliers from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, fines, penalties, judgments, awards, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or relating to:
- Your or your Members' use of the Services.
- Customer Content, including any allegation that Customer Content infringes, misappropriates, or violates any third-party right, including intellectual property, privacy, publicity, or contract rights, or violates any law.
- Your commerce, including any claim by a Member, customer, taxing authority, regulator, or third party concerning a sale, refund, chargeback, tax obligation, consumer-protection violation, marketplace law, or product defect.
- Your or your Members' violation of these Terms, the Acceptable Use Policy, the Privacy Policy, or any applicable law.
- Your or your Members' use of the public API, webhooks, AI features, mobieusMarket, file uploads, custom domains, SAML/SSO, or any other Service feature, including activity by anyone using your API keys, webhook secrets, or authentication credentials.
- Your or your Members' use of AI outputs, including any decision made in reliance on AI outputs.
- Any tax obligation imposed on Mobieus that arises from your use of the Services and that you were obligated to collect or remit.
- Any breach by you of representations or warranties in these Terms.
Mobieus will:
- Promptly notify you of the claim.
- Give you sole control over defense and settlement, provided that no settlement may admit liability of Mobieus or impose obligations on Mobieus without our prior written consent.
- Reasonably cooperate at your expense.
Mobieus may, at its option and expense, assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will reasonably cooperate.
21. Insurance
If you use the Services to operate a commercial community, mobieusMarket, or course business, you agree to maintain commercial general liability, professional liability, errors and omissions, and cyber liability insurance in commercially-reasonable amounts. Sovereign customers may be required to evidence insurance under their written order.
22. Force majeure
Neither party will be liable for delay or failure to perform, other than payment obligations, to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, shortages of transportation, fuel, energy, labor, or materials, internet, telecommunications or power-grid failures, denial-of-service or other cyber attacks, or actions of upstream cloud or DNS providers.
23. Export controls and sanctions
You agree to comply with all US export controls, including the Export Administration Regulations, and all applicable sanctions regimes, including those administered by the US OFAC and equivalent bodies. You represent that you and your Members are not located in, ordinarily resident in, or organized under the laws of any country subject to comprehensive US sanctions, and are not on any restricted-party list, including the SDN list, Entity List, Denied Persons List, or equivalent.
24. Binding arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
24(a). Mandatory arbitration
Except for the carve-outs in subsection (d), any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, or, if the Customer is a consumer and Mobieus is the claimant, the JAMS Consumer Arbitration Minimum Standards, held in Sheridan, Wyoming, or by video conference at the arbitrator's discretion. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
24(b). Class-action waiver
You and Mobieus each agree that any Dispute will be resolved only in your or our individual capacity and not in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of multiple parties and may not preside over any form of representative or class proceeding. If this class-action waiver is held to be unenforceable, then the entirety of Section 24, Arbitration, will be void.
24(c). Jury trial waiver
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
24(d). Carve-outs
Either party may bring an action in small-claims court for qualifying claims, may seek injunctive or equitable relief in court to protect its intellectual property or Confidential Information, and may pursue collection of past-due Fees in court.
24(e). Opt-out
You may opt out of this Section 24 by sending written notice to [email protected] within 30 days of first accepting these Terms, including your name, address, account email, and a clear statement that you opt out. Opt-out does not affect any other provision.
25. Statute of limitations
Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after such claim arose. Otherwise the claim is permanently barred. This limitation does not apply where prohibited by applicable consumer law.
26. Governing law and venue
Carve-out from Section 24.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, and, where applicable, the US Federal Arbitration Act. Subject to Section 24, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any action not subject to arbitration, and each party irrevocably submits to the personal jurisdiction and venue of those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.
27. Modifications to the Terms or Services
Mobieus may modify these Terms by posting an updated version at /terms. Material changes will be notified at least 30 days in advance by email or in-product notice for active subscribers. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to the change, you may terminate your subscription before it takes effect.
Mobieus may also modify, add, or remove features of the Services from time to time. We will provide reasonable notice for breaking changes. Discontinuation of an entire tier or product will be communicated with at least 90 days' notice and an export window.
28. General
Entire agreement: These Terms, plus any executed Order, DPA, or signed amendment, are the entire agreement between the parties and supersede all prior or contemporaneous communications.
Severability: If any provision is held unenforceable, the remaining provisions remain in full force; the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver: Failure to enforce a provision is not a waiver of future enforcement.
Assignment: You may not assign these Terms or any rights under them without our prior written consent, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all assets, and only on prior written notice to Mobieus. Mobieus may assign without consent. Any prohibited assignment is void.
Subcontracting: Mobieus may use subcontractors to perform its obligations; Mobieus remains responsible for their acts and omissions to the same extent as for its own.
Independent contractors: The parties are independent contractors; no agency, partnership, joint venture, or employment is created.
No third-party beneficiaries: These Terms confer no rights on any third party.
Notices: Notices to Mobieus must be sent to [email protected] with a copy to the postal address above; notices to you may be sent to the account email on file or in-product.
Survival: Sections 6, Customer Content; license, 13, Data, 14, Suspension; accrued fees, 16, IP, 17, Confidentiality, 18, Warranty disclaimer, 19, Limitation of liability, 20, Indemnification, 21, Insurance, 24, Arbitration, 25, Statute, 26, Law, and 28, General, survive termination.
US Government end-users: The Services are "commercial computer software" under FAR 12.212 and DFARS 227.7202; government use is subject to these Terms.
Electronic acceptance: You consent to receiving notices and disclosures electronically, and your electronic acceptance, including click-through, constitutes a valid and binding signature.
